Terms of Service

PLEASE READ THESE TERMS CAREFULLY. By using Visual Inventory, you agree to be bound by these Terms, including the binding arbitration provision and class action waiver in Section 16.

Geographic Availability: Visual Inventory is available only in the United States, Canada, and Mexico. By using this service, you represent that you are located in one of these countries.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Visual Inventory, LLC, a Delaware limited liability company ("Visual Inventory," "we," "us," or "our"), governing your access to and use of the Visual Inventory application, website, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Visual Inventory is a household inventory management application that uses artificial intelligence to help you track, organize, and manage your home supplies. The Service includes features such as:

  • AI-powered item recognition from photos, receipts, and voice input
  • Expiration date tracking and alerts
  • Shopping list generation and management
  • Household sharing and collaboration
  • Recipe suggestions based on inventory
  • Analytics and reporting

3. User Accounts

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your password and account credentials
  • Promptly update your account information if it changes
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.

4. Subscription Plans and Billing

4.1 Free and Paid Plans

Visual Inventory offers both free and paid subscription plans. Free plans have usage limits as described on our pricing page. Paid plans provide additional features and higher limits.

4.2 Billing and Auto-Renewal

Paid subscriptions are billed in advance on a monthly or annual basis. Your subscription will automatically renew at the end of each billing period at the then-current price unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method automatically at the beginning of each billing period. You can cancel auto-renewal at any time through your account settings or by contacting support@visualinventory.ai.

4.3 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing period after the notice.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. We offer a full refund within 30 days of your first paid subscription if you are not satisfied — contact support@visualinventory.ai to request a refund. After the initial 30-day period, no refunds will be provided for partial billing periods, except as required by law.

4.5 Free Trials

We may offer free trials of paid plans. At the end of the trial period, you will be charged for the subscription unless you cancel before the trial ends.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe the intellectual property rights of others
  • Upload or transmit viruses, malware, or malicious code
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Use automated tools to access the Service without authorization
  • Harass, abuse, or harm other users
  • Upload illegal, offensive, or inappropriate content
  • Use the Service for commercial purposes not authorized by these Terms
  • Reverse engineer, decompile, or disassemble any part of the Service

6. Your Content

You retain ownership of all content you upload to the Service ("Your Content"), including photos, inventory data, and other information. By uploading content, you grant us a limited, non-exclusive license to use, process, and store Your Content solely to provide and improve the Service.

You represent and warrant that you have the rights to upload Your Content and that Your Content does not violate any third party's rights or any applicable law.

7. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Using Visual Inventory Safely

8.1 Food Safety

Visual Inventory helps you keep track of what's in your kitchen — but it's not a substitute for your own judgment on food safety. We estimate expiration dates based on what you enter and what our AI detects, but these are convenience estimates, not safety guarantees.

  • Always verify expiration dates by reading product labels directly
  • Use your own judgment about food freshness and safety
  • When in doubt, throw it out
  • We cannot be held responsible for health issues resulting from consumption of expired, spoiled, or unsafe food

8.2 AI Accuracy

Our AI is good, but not perfect. It may occasionally misidentify items, quantities, brands, or expiration dates. We show confidence scores so you can spot anything that needs a second look. Always give AI-detected items a quick review before relying on them.

8.3 Allergens

Visual Inventory isn't built for allergen management. Our AI may miss allergen information or mislabel ingredients, and it can't detect cross-contamination risks. Always check product labels yourself and consult your healthcare provider for allergy-related dietary decisions.

8.4 Recipe and Supply Planning Disclaimers

Recipes: AI-generated recipe suggestions are for informational purposes only. They may not account for dietary restrictions, allergies, or food safety requirements. Always verify ingredient suitability and cooking instructions independently.

Supply Planning: Supply planning features and gap analysis are informational tools only. They are not a substitute for professional guidance. Consult official resources like Ready.gov for household readiness guidance.

8.5 Not Professional Advice

The Service does not provide medical, nutritional, dietary, or professional advice of any kind. Consult appropriate professionals for advice regarding nutrition, allergies, food safety, or household supply planning.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR DATA
  • WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
  • WARRANTIES REGARDING THE ACCURACY OF AI-GENERATED CONTENT OR RECOMMENDATIONS

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISUAL INVENTORY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • ANY PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE SERVICE
  • ANY FOODBORNE ILLNESS OR HEALTH ISSUES RESULTING FROM RELIANCE ON THE SERVICE
  • ANY ERRORS OR INACCURACIES IN AI-GENERATED CONTENT
  • ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
  • ANY THIRD-PARTY CONDUCT OR CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Visual Inventory and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your Content, including any claims that content you upload infringes third-party rights
  • Your willful misconduct or fraudulent use of the Service

12. Intellectual Property

The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of Visual Inventory. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks may not be used without our prior written consent.

13. Service Modifications and Termination

We reserve the right to modify or suspend the Service (or any part thereof) at any time. If we discontinue the Service entirely, we will provide at least 30 days' notice via email to your registered account and a reasonable opportunity to export your data (via our export feature or upon request). Any prepaid subscription fees for the unused portion of your billing period will be refunded.

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. In such cases, we will provide you an opportunity to export your data upon request, unless prohibited by law.

14. Geographic Restrictions

The Service is intended for use only by residents of the United States, Canada, and Mexico. By using the Service, you represent and warrant that you are located in one of these countries. We make no representation that the Service is appropriate or available in other locations.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. For users in Canada, mandatory consumer protection laws of your province may apply. For users in Mexico, mandatory consumer protection laws may apply.

16. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

16.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at legal@visualinventory.ai and attempt to resolve the dispute informally for at least 30 days.

16.2 Binding Arbitration (US Users)

For users located in the United States: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration will be conducted in English, and the arbitrator's decision will be final and binding.

16.3 Class Action Waiver

YOU AND VISUAL INVENTORY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

16.4 Right to Opt Out

You may opt out of the arbitration agreement by sending written notice to legal@visualinventory.ai within 30 days of creating your account. Your notice must include your name, email address, and a clear statement that you wish to opt out of binding arbitration. If you opt out, you may resolve disputes in court as described in Section 15 (Governing Law).

16.5 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights pending arbitration. Small claims court actions are also exempt from arbitration.

16.6 Canadian and Mexican Users

For users in Canada and Mexico, disputes shall be resolved in accordance with the applicable consumer protection laws of your jurisdiction. Nothing in these Terms limits your rights under mandatory consumer protection legislation.

17. Copyright and DMCA

We respect the intellectual property rights of others. If you believe that content available through the Service infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated agent:

Your notice must include: (1) identification of the copyrighted work, (2) identification of the infringing material, (3) your contact information, (4) a statement of good faith belief, and (5) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.

18. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last updated" date. For significant changes, we may also notify you by email.

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may cancel your account.

19. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Visual Inventory regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that or any other provision in the future.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, with notice to users.
  • Force Majeure: We are not liable for any delay or failure to perform resulting from causes outside our reasonable control.
  • Survival: Sections 6 (Your Content), 8 (Disclaimers), 9 (Warranties), 10 (Limitation of Liability), 11 (Indemnification), and 16 (Dispute Resolution) shall survive any termination or expiration of these Terms.
  • Household Sharing: The account holder who creates a household is responsible for the activity of all members they invite. Household members must comply with these Terms. The account holder may remove members at any time.
